The registrant is filing this Post-Effective Amendment No. 1 solely to indicate that the registrant is moving 3,000,000 of the shares which were originally registered by the Original Form S-8 Filing and allocated for issuance under the 2009 Non-U.S. Plan, to the 2009 Plan. Concurrently with the filing of this Post-Effective Amendment No. 1, the registrant will be filing a new Registration Statement on Form S-8 with respect to the 2009 Plan (the “New Form S-8”) which (i) indicates that 3,000,000 of the shares originally registered by the Original Form S-8 and allocated for issuance under the 2009 Non-U.S. Plan, are being moved to the New Form S-8 and allocated for issuance under the 2009 Plan and (ii) registers an additional 3,000,000 shares of Common Stock for issuance under the 2009 Plan. |

EXPLANATORY NOTE
NeoStem, Inc. (the “Company” or the “registrant”) filed Registration Statement on Form S-8 (Registration No. 173854) on May 2, 2011 (the “Original Form S-8 Filing”) pursuant to General Instruction E to Form S-8, to register (i) 13,950,000 additional shares of the registrant’s common stock, par value $0.001 per share (“Common Stock”), issuable under the NeoStem, Inc. 2009 Equity Compensation Plan (the “2009 Plan”) and (ii) 4,000,000 additional shares of Common Stock issuable under the NeoStem, Inc. 2009 Non-U.S. Based Equity Compensation Plan (the “2009 Non-U.S. Plan”). On October 14, 2011, the registrant’s stockholders approved an amendment to the 2009 Plan to increase the number of shares of Common Stock authorized for issuance thereunder by 6,000,000 shares. Also on October 14, 2011, the registrant amended the 2009 Non-U.S. Plan to decrease the number of shares of Common Stock authorized for issuance thereunder by 3,000,000 shares. The registrant is filing this Post-Effective Amendment No. 1 to the Original Form S-8 Filing solely to indicate that the registrant is moving 3,000,000 of the shares which were originally registered by the Original Form S-8 Filing and allocated for issuance under the 2009 Non-U.S. Plan, to the 2009 Plan. Concurrently with the filing of this Post-Effective Amendment No. 1, the registrant will be filing a new Registration Statement on Form S-8 with respect to the 2009 Plan (the “New Form S-8”) which (i) indicates that 3,000,000 of the shares originally registered by the Original Form S-8 and allocated for issuance under the 2009 Non-U.S. Plan, are being moved to the New Form S-8 and allocated for issuance under the 2009 Plan and (ii) registers an additional 3,000,000 shares of Common Stock for issuance under the 2009 Plan.
Following the filing of this Post-Effective Amendment No. 1 and the concurrent filing of the New Form S-8, there will be (i) an aggregate of 23,750,000 shares of Common Stock registered for issuance under the 2009 Plan and (ii) an aggregate of 5,700,000 shares of Common Stock registered for issuance under the 2009 Non-U.S. Plan, in each case the maximum number of shares authorized for issuance under the terms of the respective plan. The contents of the earlier registration statements (Reg. Nos. 333-159282, 333-162733 and 333-173854) are hereby incorporated by reference and made a part hereof, except to the extent as amended hereby.
